The USEN-NEXT Group has set up the following structure for corporate governance based on the recognition that having robust corporate governance is an important management issue from the standpoint of remaining a corporate group needed by society and deserving of its ongoing expectations, while providing essential services to society. We strive to establish a sound, transparent and highly efficient management structure with the aim of fulfilling our management responsibility and accountability to shareholders and other stakeholders.
With a focus on business execution functions and internal audit functions through its Board of Directors, Audit & Supervisory Board, Group Executive Committee, and executive officer system, the Group has built and maintains an efficient and legally compliant corporate structure that focuses on ensuring the effectiveness and efficiency of business operations and reliability in financial reporting along with the protection of assets and compliance with laws and regulations in its business activities.
To ensure proper business activities and controls at USEN-NEXT HOLDINGS and Group subsidiaries, the Company’s Audit Department engages in operational audits and other monitoring activities, defines management rules for Group companies, assesses the status of business activities at each company, and advances the governance structure for the entire Group.
